GENERAL TERMS AND CONDITIONS – MISTING-PRO (PRIVATE CUSTOMERS)

1. Definitions

For us, only one definition matters:
Customer = King.

3. Applicability

These terms apply when you purchase or have purchased something from us. They explain what we do for you and what we expect from you.

4. The Agreement

We maintain a secure online environment.
After placing an order, you receive confirmation by email, and we keep you informed until delivery.

5. Right of Withdrawal

You may return a product within 14 days after receipt.
You will receive a replacement or a refund as soon as possible.

6. What we expect during the cooling-off period

Handle the product carefully.
Only inspect it as you would in a store.

7. What you can expect after returning

If you notify us within 14 days:

  • Replacement OR
  • Refund as soon as possible

8. Return shipping costs

Return costs are for the buyer.

9. Non-returnable items

Used Misting-Pro packages cannot be returned.

10. Price

  • Transparent pricing
  • Same prices online and in-store
  • Prices include VAT
  • Free shipping from €100

11. Warranty

You are entitled to a proper product.
If something is wrong, we will resolve it according to the law (or better if specified).

12. Delivery

We aim to deliver quickly and correctly.
If delivery fails, you receive a refund or alternative.
Damage/loss before delivery = our responsibility.

13. Payment

Orders are processed after payment.
Incorrect payment details must be reported immediately.

14. Complaints

  • Report complaints clearly via email
  • Response within 2 working days

15. Disputes

You may submit disputes within 12 months to:

16. Final clause

Updated terms will always be published on the website and will not disadvantage you.

Article 2. Definitions

  • Misting-Pro: us
  • Customer: business client
  • Products: goods sold
  • Services: services offered
  • Website(s): our platforms
  • Day: calendar day

Article 3. Applicability

  • Applies to all agreements
  • Additional terms may apply
  • Deviations only in writing
  • Customer terms excluded
  • We may update terms
  • Use = acceptance

Article 4. Offers

  • Non-binding offers
  • Valid for 14 days
  • Prices exclude VAT
  • No partial acceptance
  • Agreements are written
  • Images may differ
  • Payment or credit check required
  • Custom products cannot be returned

Article 5. Delivery

  • Orders processed within 1 day
  • Delivered to provided address
  • Delays do not allow cancellation
  • Partial deliveries allowed
  • Alternative shipping at customer's cost
  • Customer refusal → costs charged

Article 6. Contract duration & termination

We may suspend/terminate if:

  • Obligations are not met
  • Doubt about customer solvency
  • Force majeure

Termination notice:

  • Indefinite: 30 days
  • Fixed-term: 14 days

Article 7. Payment

  • Payment within agreed term
  • Late payment = 8% interest + 15% fee (min €50)
  • Collection costs charged
  • Credit checks possible

Article 8. Retention of title

Products remain ours until fully paid.
Customer must insure and safeguard them.

Article 9. Warranty & complaints

  • Warranty applies for NL/BE
  • Incorrect use voids warranty
  • Visible defects: report within 3 days
  • Hidden defects: within 5 days
  • Late report = no rights

Article 10. Liability

  • Limited to invoice value
  • Only direct damage covered
  • No liability for indirect damage
  • Intent/gross negligence = exception

Article 11. Risk transfer

Risk transfers upon delivery.

Article 12. Force majeure

Includes:

  • Strikes, illness
  • Fire, flooding
  • War
  • Supply failures
  • Network failures
  • Government restrictions

Article 13. Intellectual property

All rights belong to Misting-Pro.
Violation penalty: €10,000 + damages.

Article 14. Confidentiality

Confidential info must be kept secret for 2 years.
Exceptions apply (legal obligation, prior knowledge, etc.).

Article 15. Applicable law

  • Dutch law applies
  • Vienna Sales Convention excluded
  • Court: location of Misting-Pro

Article 16. Severability

Invalid provisions do not affect the rest.

Article 17. Completion of work

Work is considered complete after notice or 8 days.
Minor defects will be fixed.

Article 18. Outsourcing

We may use third parties.

Article 19. Transfer

Customer needs written permission.
We may transfer rights.

Article 20. Waiver

We do not waive rights even if not exercised.
